Terms and Conditions: Whenevr Ltd

These Terms and Conditions ("Terms") govern the provision of creative subscription services by Whenevr Ltd ("Whenevr", "the Agency", "we", "us", or "our") to business customers ("Client", "you", or "your").
Business Customers Only
These services are provided solely to business customers acting in the course of trade, business, or profession. By subscribing, the Client confirms that it is:
A company, partnership, or sole trader acting for business purposes; and
Not acting as a consumer.
If this representation is inaccurate, Whenevr reserves the right to immediately terminate the subscription. The Client shall indemnify Whenevr against any losses, damages, or legal costs arising from any misrepresentation of business status.
Acceptance & Eligibility
1.1 Agreement: By purchasing, accessing, or using Whenevr’s services, the Client agrees to be bound by these Terms.
1.2 Website Intellectual Property: All content, branding, materials, and design elements on whenevr.studio are the intellectual property of Whenevr Ltd and may not be copied, reproduced, or used without prior written permission.
The Service & “Unlimited” Model
2.1 Subscription Model: Whenevr provides a rolling creative subscription priced at £4,995 per 30-day billing period, exclusive of VAT.
2.2 Production Capacity Model: The subscription provides access to Whenevr’s creative production capacity, not a guaranteed number of deliverables. Clients may submit an unlimited number of requests, which will be placed in a queue and completed sequentially according to the Active Task limit. “Unlimited” refers solely to the number of requests submitted and does not guarantee unlimited output within any specific timeframe.
2.3 Active Task Limit: The standard subscription includes one (1) Active Task at any given time.
2.4 Additional Active Task: Clients may purchase an additional slot for £995 per 30-day period, allowing two (2) Active Tasks to be worked on simultaneously.
2.5 Task Scope: Whenevr reserves the right, at its sole discretion, to determine whether a request constitutes one or multiple tasks and may divide larger requests accordingly.
2.6 Revisions: Reasonable revisions are included. Revisions may be treated as a new task if they introduce a new concept, require a new deliverable, or significantly alter the original scope.
2.7 Service Exclusions: Whenevr does not provide: full-stack/backend dev, mobile app dev, advanced 3D/character animation, legal/medical/technical copywriting, media buying, physical manufacturing, or brand audits.
Fees, Billing & Payment
3.1 Billing: Subscriptions are billed every 30 days in advance.
3.2 Payment: GBP (£) via Stripe. Work may be suspended immediately if payment fails.
3.3 International Taxes: Clients are responsible for local taxes. Payments must be grossed up so Whenevr receives the full net invoiced amount regardless of local withholding obligations.
3.4 US Clients: Whenevr will provide Form W-8BEN-E upon request.
Workflow & Working Hours
4.1 Project Platform: All requests must be managed via the designated Notion board.
4.2 Working Hours: 09:00–17:00 London time (GMT/BST), Monday to Friday, excluding UK public holidays.
4.3 Turnaround: We aim for 2–3 business days. Turnaround times are estimates only. Time shall not be of the essence in the performance of the services.
4.4 Task Start Time: Work begins once a task is moved to Active status in the workflow platform.
Client Responsibilities & Deemed Acceptance
5.1 Obligations: The Client must provide all required assets, ensure they are lawful/non-infringing, and provide timely feedback.
5.2 Deemed Acceptance: If the Client fails to provide feedback or approval within 10 business days, Whenevr may treat the task as accepted and completed and close the task in the workflow system.
Intellectual Property
6.1 Underlying IP: Whenevr retains ownership of all underlying methodologies, systems, templates, tools, and processes.
6.2 Licence to Client: Upon full payment, Whenevr grants a perpetual, worldwide, non-exclusive licence to use final deliverables for the Client’s internal business and brand purposes.
6.3 Deliverables: Only final exported deliverables are included. Source or working files (e.g., .AI, .PSD, .FIG) are not included and remain the property of Whenevr.
6.4 Portfolio Use: Whenevr may display work in its portfolio/marketing unless an NDA is in place.
Cancellation & Refunds
7.1 Notice: Subscriptions may be cancelled with at least 7 days’ written notice before the next billing date.
7.2 No Refunds: No refunds are provided for partial billing periods or unused capacity.
Liability & Indemnity
8.1 Limitation of Liability: To the maximum extent permitted by law, Whenevr’s total liability shall not exceed the total fees paid by the Client during the one (1) month preceding the claim.
8.2 Excluded Losses: No liability for loss of profits, revenue, business, goodwill, or indirect/consequential losses.
8.3 Indemnity: The Client indemnifies Whenevr against any claims arising from materials supplied by the Client.
Suspension & Termination
9.1 Termination for Cause: Whenevr may suspend or terminate services if the Client fails to pay, breaches these Terms, or submits unlawful/abusive requests.
9.2 Termination for Convenience: Whenevr reserves the right to terminate this agreement at any time by providing 7 days' written notice. In such event, Whenevr shall provide a pro-rata refund for the remaining days of the billing period.
Data Protection & Processing
10.1 Privacy Policy: We process personal data in accordance with our Privacy Policy, which can be found at whenevr.studio/privacy.
10.2 Compliance: Both parties shall comply with the UK GDPR and Data Protection Act 2018.
10.3 Roles: The parties acknowledge that the Client is the Data Controller and Whenevr is the Data Processor.
10.4 Processor Obligations: Whenevr shall:
Process personal data only on documented instructions from the Client;
Ensure personnel are committed to confidentiality;
Implement appropriate technical and organisational security measures;
At the Client's choice, delete or return personal data at the end of the subscription, unless storage is required by law.
10.5 Sub-processing: The Client provides general authorisation for Whenevr to engage sub-processors (e.g., Notion, Stripe, Adobe) to deliver the services.
11. Legal Boilerplate
11.1 Sub-Contracting: Whenevr may use freelancers or subcontractors.
11.2 Force Majeure: Not liable for delays caused by events beyond our control (e.g., Notion/Stripe outages).
11.3 Entire Agreement: These Terms constitute the entire agreement and supersede all prior DMs or emails.
11.4 Governing Law: Laws of England and Wales; exclusive jurisdiction of the courts of England and Wales.
